GENERAL SALES CONDITIONS

01) DELIVERY. Goods are sold ex factory.

The supplying company “Scarabeo Ceramiche S.r.l.” reserves the right to despatch an order in more than one delivery

depending on the actual product availability in their warehouses. Should the packages not be intact upon arrival, it is the

Client’s duty to report this on the delivery note and to informthe supplying company within 5 says of delivery of the goods.

02) ORDER ACCEPTANCE. Orders issued to our area agents, even when undersigned, are understood to be subject to

acceptance by “Scarabeo Ceramiche S.r.l.”.

03) LIABILITY. The supplying company, subject to authorisation, shall accept only those returned goods recognised as

faulty due tomanufacturing defects and shall credit the amount of the returned goods minus transport costs to the Client,

or shall reserve the right to replace the faulty goods returned. Any other actions, refund or compensation whatsoever for

indirect and direct damages caused by the installation of the faulty goods remains excluded.

04) DELIVERY TERMS. The date is purely indicative and is not bilding. Deliveries will be programmed taking into consideration

the requirements of our Clients, it being understood that the supplying company reserves the right to change the delivery

programme. Any liability whatsoever on the part of the supplying company for delivery delays or missed deliveries remains

excluded, whatever the cause may be.

05) PAYMENTS. The terms of payment are those indicated on the order confirmation.

The supplier company reserves the right to suspend or cancel a supply if the payments are not made according to the

due dates and in the methods agreed. Payments are considered as made by the Customer only at the moment when the

relative sum has been credited into the current account of the supplier company.

Disputes of any nature will not give the Customer the right to suspend current payments.

Orders for a taxable value under Euro 250.00 will be shipped cash on delivery, or with payment beforehand.

06) ASSIGNMENT OF CREDIT. Scarabeo Ceramiche srl may assign or transfer, in full or in part, the credit resulting from

the supplies made, without the Customer’s prior consent.

07) PACKAGING. Packaging is carried out using standard packaging (pallets, boxes, etc.) and specific type of packaging

used shall be noted on the individual order confirmations. The cost is payable by the Client (5% increase pallets - boxes).

08) COMPLAINTS. Dach consignment is understood to be accepted after eight days have passed from receipt of good

09) CODE NUMBERS. Products must be order by their identification code number.

10) TECHNICAL FEATURES. “Scarabeo Ceramiche S.r.l.” reserves the right to modify the technicalfeatures of the products

at any time in order to improve the product itself, or to interrupt productions of models at any time whatsoever without

giving any prior notice.

11) LEGAL RESIDENCE. For any controversy whatsoever between “Scarabeo Ceramiche S.r.l.” and the customer, the Court

of Viterbo is and always will be the only place of jurisdiction.

12) E-COMMERCE.

In order to safeguard our brand and commercial policies, subjects who intend selling our product via the Internet

(e-commerce) must observe the following rules:

a) A written application indicating the intention to sell via the Internet (e-commerce) must be submitted, specifying:

1) Company name (if different)

2) Name of the website, address, certified e-mail (PEC), contact person

3) Chamber of commerce company registration certificate

b) After an internal assessment, Scarabeo Ceramiche srl will issue the written authorisation.

c) The authorisation of Scarabeo Ceramiche srl relates solely and exclusively to the website indicated in the application.

The process must be repeated for related and/or new websites.

d) Only images taken from our official catalogues may be used; the use of any image must be authorised by Scarabeo

Ceramiche srl.

e) Failure to observe the agreements shall imply the immediate interruption of supplies, without prior notice on the part

of Scarabeo Ceramiche srl.

This price list cancels all previous ones.

The sizes and Weights stated in this price list are understood to be approximate.
